Constitution

• Section I: To promote Lesbian, Gay, Bisexual, Transgender and Queer (“LGBTQ”) faculty and staff involvement in university affairs at the University at Buffalo.
• Section II: To encourage and promote a sense of community pride and unity among the LGBTQ population at the University.
• Section III: To provide access to and information about resources and services for the LGBTQ community within the University community, the greater WNY region, and other professional organizations.
• Section IV: To support efforts aimed at developing and maintaining a culture of equity and inclusion University-wide.

• Section I: The Lesbian, Gay, Bisexual, Transgender and Queer Faculty and Staff Association (“LGBTQ FSA” or “Association”), uses the LGBTQ acronym to refer to any person who identifies with an underrepresented sexual orientation, gender identity or gender expression.
• Section II: The Association recognizes, welcomes and is inclusive of all identities.
• Section III: The Association shall not restrict membership or discriminate on the basis of any social identity, including sexual orientation, gender identity, and gender expression.

• Section I: The Association shall be governed by this Constitution and its Bylaws.
• Section II: The Association’s organizational structure will consist of members and an Executive Board.
• Section III: The duties, powers and regulations governing the Association’s organizational structure shall be defined and delimited in the Association’s Bylaws.
• Section IV: The span of authority, rights and privileges shall devolve as follows:
  • Constitution
  • Bylaws
  • Membership
  • Executive Board
• Section V: The Executive Board may appoint a standing committee or task force to assist with Association business on an as needed basis per guidelines outlined in the Association’s Bylaws. 

• Section I: The Association’s financial affairs will be governed by the Executive Board.
• Section II: The Association shall assess and collect dues in an amount and on a schedule stipulated by the Association’s Bylaws.

• Section I: The Association’s Executive Board shall formulate, amend, alter, delete, repeal and add policies to govern the Association, its programs, activities and projects.
• Section II: The Executive Board may formulate and change its policies from time to time without the necessity to amend this Constitution and the Association’s Bylaws.
• Section III: The Executive Board may not expressly, implicitly or by reference seek or cause to seek or alter the abrogation, amendment, addition or modification of this Constitution and/or Association’s Bylaws.

• Section I: The Executive Board may appoint a standing committee or task force to make recommendations to the Membership regarding the amendment, alteration or repeal of this Constitution.
• Section II: The Constitution of the Association shall be amended only by a two-thirds majority vote of all Active members.
• Section III: Interpretation of this Constitution shall be made in the form and manner as interpretations are regulated in the Bylaws.

In accordance with University policy and procedures governing management of Association funds, upon the dissolution of the Association, the Executive Board shall, after paying or making provision for the payment of all of the liabilities of the Association, dispose of all of the assets of the Association in conformity with the purposes of the Association and in compliance with a plan determined by the Executive Board at that time.

This Constitution shall take effect on June 1, 2019 upon acceptance by a simple majority of the membership of the Association.
